UAE compliance calendar for businesses: the deadlines that matter
Corporate Tax, VAT, UBO, licence renewal, audit filing and AML for UAE SMEs and free-zone companies — what is due, when, and what happens if you miss it.
Updated 14 October 2026
UAE compliance is a set of recurring filings, not one annual event. The list below covers the obligations most SMEs and free-zone companies actually face — with the deadline mechanics, not legal advice. Your free-zone authority and the FTA portal are the final word for your entity.
Corporate Tax — the yearly anchor
Every taxable person must register for Corporate Tax with the FTA, including free-zone entities claiming the 0% qualifying rate. The return and payment are due within 9 months of your financial year end — a December year-end files by 30 September.
- Register once via EmaraTax before your first filing — late registration draws an administrative penalty.
- Return + payment: 9 months after financial year end.
- Small Business Relief (revenue ≤ AED 3m) is an election on the return, not an exemption from filing.
VAT — the quarterly rhythm
Registration is mandatory once taxable supplies pass AED 375,000 in 12 months (voluntary from AED 187,500). Most SMEs file quarterly; the return and payment are due on the 28th day after the tax period ends.
- File even in a nil quarter — a missed return is a penalty whether or not tax is due.
- E-invoicing is being phased in under the Ministry of Finance programme — watch your appointed-phase date.
UBO register — continuous, not annual
Every mainland and free-zone company (except listed and government-owned) keeps a current Ultimate Beneficial Owner register and reports it to the licensing authority. Changes must be reflected within 15 days — the deadline is the change itself, not a calendar date.
Economic Substance — mostly retired, keep records
ESR filings applied to financial years up to 2022; Cabinet decisions ended notification/report obligations for periods after 31 December 2022 as Corporate Tax took over. If your entity claimed an ESR exemption or filed ESR for earlier years, keep the documentation — audits reach back.
Licence renewal — annual, authority-specific
Trade licences renew yearly. Late renewal freezes bank account operations and accrues fines — the most common avoidable compliance failure for new companies. Renewal windows and required documents (ejari/lease, UBO confirmation, sometimes audited accounts) differ by authority.
Audit filing — depends on your free zone
Most major free zones require annual audited financial statements; DMCC, JAFZA, DIFC and ADGM each set their own submission window (commonly 4–6 months after year end). Mainland LLCs need an audit only when the MOA, CT position or bank requires it.
AML and goAML — for regulated activities
DNFBPs — real estate brokers, dealers in precious metals and stones, auditors, corporate service providers — must register on goAML and maintain ongoing monitoring and suspicious-transaction reporting. Ordinary trading and consulting companies are generally out of scope but banks still apply AML screening at onboarding.
Emiratisation and payroll
Mainland companies with 50+ employees must grow the skilled Emirati share of their workforce (2% a year, measured at mid-year and year-end checkpoints via MOHRE/Nafis). All mainland employers pay through WPS — missed salary files flag in immigration systems fast.
A working calendar
- Within 15 days of any ownership change: update the UBO register.
- 28th day after each VAT quarter: file and pay VAT.
- Licence renewal month: renew trade licence, re-confirm UBO and lease documents.
- 4–6 months after year end: audited statements to the free zone (if required).
- 9 months after year end: Corporate Tax return and payment.
What we do not cover
Sector regulators (VARA for virtual assets, DFSA/FSRA inside the financial free zones, Central Bank for licensed financial institutions) add their own calendars — this guide covers the ordinary SME/free-zone baseline. Data reviewed 14 October 2026; obligations change — verify against fta.gov.ae and your licensing authority.

Frequently asked questions
When is the UAE Corporate Tax return due?
Within 9 months of your financial year end — a company closing its books on 31 December files and pays by 30 September the following year.
Do free-zone companies pay Corporate Tax?
They must still register and file. A qualifying free-zone person keeps the 0% rate on qualifying income, but the filing obligation — and the 9-month deadline — applies to every registered entity.
When is VAT filed in the UAE?
On the 28th day after each tax period ends — quarterly for most SMEs, monthly for larger businesses. A nil return must still be filed on time.
Is Economic Substance still required in the UAE?
ESR notification and reporting ended for financial periods starting after 31 December 2022. Earlier-year filings remain subject to audit, so keep the records.
What happens if I renew my trade licence late?
Fines accrue from the expiry date, the company can be flagged by the licensing authority, and banks commonly freeze transactions until the renewed licence is on file.
